Our focus spans leveraged buyouts, mergers and acquisitions, corporate carve-outs, ownership transitions, distressed and special situations across Europe.

We are deliberately selective. The situations that interest us most are often those that are difficult to categorise, awkward to execute or overlooked by larger institutional processes.

The firm is intended to remain lean. We prefer direct responsibility, carefully chosen external expertise where needed and a decision-making structure that keeps senior judgement close to the underlying commercial question.

We prefer considered decisions over formulaic process. Facts matter, but so does understanding what those facts mean in context.

Discretion

Many worthwhile transactions begin before there is a formal process. Confidentiality and controlled information flow are central to how we operate.

Conviction

We are comfortable forming a view where information is incomplete, incentives are misaligned or consensus is absent.

Execution

Strategy only becomes valuable when it survives contact with counterparties, financing, diligence, documentation and operating reality.

We value relationships that can survive more than one transaction. That encourages candour at the beginning of an engagement, a clear view of fit and a willingness to remain useful even where the immediate answer is not a transaction.

We also believe small organisations need not look or behave like temporary organisations. Institutional discipline in information handling, documentation, governance and communication can exist without institutional bureaucracy.

How the firm is intended to operate

Lean structure. Institutional discipline. Direct accountability.

Bratton Richards is being built deliberately rather than by accretion. The objective is a compact European investment and corporate-transactions business with the operating discipline of an institution but without the distance, committee density or public-relations machinery that often comes with scale.

That means senior attention remains close to origination, judgement and execution. Specialist legal, tax, financing, technical or operational expertise can be brought in where a situation requires it, but responsibility for the core commercial question should remain clear.

We do not consider a large headcount to be evidence of quality. The relevant question is whether the right expertise, decision authority and accountability are present for the situation at hand.

That is also why the website avoids invented statistics and premature claims of institutional scale. Credibility should come from the quality of the work, the consistency of conduct and the substance of the relationships developed over time.
