Before a board decision
When the question is whether to buy, sell, separate, partner, remain independent or redirect capital.
Independent advice for consequential corporate and ownership decisions.
Strategic decisions are often made before a transaction exists. Owners and management teams may be weighing succession, a disposal, an acquisition, a partnership, capital allocation or a change in strategic direction without yet having a defined process.
Our role in those situations is to help sharpen the question, identify realistic alternatives and translate strategy into a sequence of decisions that can actually be executed.
Clarifying the credible options, their implications and the conditions under which one alternative becomes superior to another.
Considering succession, shareholder alignment, control, governance and the strategic consequences of changing ownership.
Preparing the business, information and decision framework before entering a formal acquisition, disposal or partnership process.
Bringing independent challenge to assumptions, valuation logic, counterparties, timing and execution risk without adding unnecessary process.
We favour advisory work where the decision-makers are directly engaged and the issue is sufficiently important to justify concentrated senior attention. The objective is not to manufacture activity but to improve the quality of the decision and the probability of a workable outcome.
Where a matter moves into specialist legal, tax, accounting or regulated territory, appropriately qualified advisers should be engaged for those aspects.
When the question is whether to buy, sell, separate, partner, remain independent or redirect capital.
Where commercial strategy and shareholder objectives need to be reconciled before transaction mechanics take over.
Where a corporate or owner needs a clear view of which activities deserve more capital and which no longer fit.
Where several credible routes exist and management needs an independent framework for evaluating them.
Strategic advisory is most useful when it sharpens the question. We begin with the commercial objective, the constraints and the available alternatives, then focus analysis on the issues capable of changing the decision.
We distinguish corporate and transaction advice from regulated investment advice. Our work is centred on companies, ownership, strategy, M&A and related commercial questions. Any proposed mandate is scoped by reference to the activities actually to be performed and the jurisdictions involved; a regulated element that Bratton Richards is not permitted to provide is excluded, restructured or handled separately by an appropriately authorised provider where required.
Where a strategic question develops into a transaction, the quality of the early work should carry forward. The investment case, stakeholder map, structure and decision logic should remain coherent rather than being recreated once a formal process begins.
The scope should be defined around an actual decision rather than a broad ambition to explore strategy.
We identify the variables that are decision-critical and avoid over-analysing matters unlikely to affect the outcome.
The views of management, shareholders, lenders, advisers and potential counterparties may reflect different objectives.
Timing can create or destroy options. Sometimes delay improves information; sometimes it weakens negotiating position or strategic relevance.
Strategic Advisory is framed around corporate strategy, ownership, transaction preparation and commercial decision support. Investor-side investment advice, securities distribution and other regulated financial services are outside the intended scope.
The regulatory treatment of a proposed mandate is fact- and jurisdiction-specific. Where an element would require a licence, registration, approval or other permission that Bratton Richards does not hold, Bratton Richards does not undertake that element in that form.
We engage selectively and only where the circumstances, counterparties and applicable legal and regulatory framework permit. Nothing on this page constitutes an offer, solicitation, investment recommendation or regulated advice.
